User Agreement

This User Agreement (“Agreement”) is entered into between Food Store Direct (“Company”), and you (“User”).

By accessing or using any services provided by Food Store Direct, including but not limited to websites, applications, and any other platforms (“Services”), you agree to be bound by the terms and conditions of this Agreement. If you do not agree with any of these terms, you may not access or use the Services.

1. Use of Services

1.1. Eligibility: By agreeing to this Agreement, you represent that you are at least 18 years of age or the age of majority in your state of residence. If you are accessing or using the Services on behalf of a company, entity, or organization, you represent that you have the authority to bind such entity to this Agreement.

1.2. License: Subject to the terms and conditions of this Agreement, Food Store Direct grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes.

1.3. User Conduct: You agree to use the Services only for lawful purposes and in accordance with this Agreement. You will not engage in any conduct that could harm, disable, overburden, or impair the Services, or interfere with any other party’s use and enjoyment of the Services.

2. User Content

2.1. Submission: By submitting, posting, or displaying any content on or through the Services (“User Content”), you grant Food Store Direct a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods now known or later developed.

2.2. Ownership: You retain ownership rights to your User Content. However, by submitting User Content, you acknowledge and agree that Food Store Direct may store and make your User Content accessible to others as necessary to provide the Services.

3. Intellectual Property

3.1. Ownership: Food Store Direct retains all rights, title, and interest in and to the Services, including all related intellectual property rights. You acknowledge that the Services and their components are protected by copyright, trademark, and other laws.

4. Privacy

4.1. Collection and Use of Information: Food Store Direct may collect and use information about your use of the Services in accordance with its Privacy Policy. By using the Services, you consent to such collection and use.

5. Termination

5.1. Termination by Food Store Direct: Food Store Direct reserves the right to terminate or suspend your access to the Services at any time, with or without cause, and without prior notice.

6. Miscellaneous

6.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], United States of America, excluding its conflicts of law principles. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

6.2. Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

7. Payment Terms

7.1. Fees and Charges: You agree to pay all applicable fees and charges for the use of the Services as described on the Food Store Direct website or other platforms at the time of your purchase or subscription. All fees are non-refundable unless otherwise stated.

7.2. Payment Methods: You must provide a valid payment method to access certain Services. By providing a payment method, you authorize Food Store Direct to charge all applicable fees to that payment method, including any recurring charges for subscriptions, unless you cancel in accordance with the cancellation policy.

7.3. Billing: If you subscribe to a recurring service, you will be billed in advance on a periodic basis (e.g., monthly or annually) as specified at the time of purchase. You agree to keep your payment information up to date to ensure uninterrupted access to the Services.

7.4. Late Payments: Food Store Direct reserves the right to suspend or terminate your access to the Services if any payment is overdue. You are responsible for any additional fees, including collection costs or legal fees, incurred due to late or non-payment.

7.5. Taxes: All fees are exclusive of applicable federal, state, local, or other taxes. You are responsible for paying any such taxes that may apply to your use of the Services, except for taxes based on Food Store Direct’s income.
